General Terms and Conditions (GTC)
for contracts via the online shop at www.urban-greenery.de

§ 1 General Provisions

  1. These terms and conditions apply to all contracts concluded under the URL urban-greenery.de between Urban Greenery GmbH (hereinafter “Urban Greenery”) and the customer.

  2. Customers are both consumers and entrepreneurs.

    • Consumer means any natural person who enters into a legal transaction for purposes that are predominantly outside his or her trade, business, or profession.

    • Entrepreneur means any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of his or her trade, business, or profession.

  3. German law applies, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). For consumers, this choice of law applies only insofar as it does not deprive them of the protection afforded by mandatory provisions of the law of their country of residence.

§ 2 Conclusion of Contract

  1. The contract language is German.

  2. All offers in the online shop are non-binding and do not constitute a binding offer. By placing an order, the customer makes a binding offer.

  3. Before submitting the order, the customer can correct input errors. Urban Greenery will confirm receipt of the order immediately – this is not yet acceptance.

  4. Acceptance of the offer occurs by order confirmation within three business days or by delivery of the goods.

  5. The conclusion of the contract is subject to correct self-supply by suppliers. In case of non-availability in whole or in part, Urban Greenery will inform the customer without delay and refund any payments made.

  6. Offers are exclusively aimed at customers with billing and shipping addresses in Germany, Austria, or Switzerland.

§ 3 Storage of Contract Text

  1. Urban Greenery stores the contract text and sends the customer the order data and T&Cs by e-mail.

  2. The contract text is also accessible to the customer at any time via the internal customer area on urban-greenery.de under “My Account”.

§ 4 Right of Withdrawal and Consequences

Consumers have the right of withdrawal in distance contracts pursuant to § 355 BGB.

Withdrawal Instruction

  1. You can withdraw from this contract within 14 days without giving any reason. The withdrawal period begins upon receipt of the last goods.

  2. To exercise the right of withdrawal, send a clear statement (e.g. e-mail to hallo@urban-greenery.de). You must return the goods within 14 days of withdrawal.

  3. Urban Greenery will bear the direct costs of returning the goods.

Exclusion of the Right of Withdrawal

The right of withdrawal expires prematurely for sealed goods that are not suitable for return due to health protection or hygiene reasons if the seal has been removed after delivery.

§ 5 Prices

  1. All prices are final prices including VAT. Any customs duties or import taxes are to be paid by the customer.

  2. Packaging, shipping, and insurance costs are not included in the purchase price and will be shown separately during the ordering process.

§ 6 Payment Terms

  1. Accepted payment methods: credit card, PayPal, advance payment, direct debit.

  2. By selecting PayPal, the customer authorizes Urban Greenery to collect the due payments.

  3. By selecting credit card payment, the customer authorizes Urban Greenery to charge the full amount to the provided card upon conclusion of the contract.

  4. For advance payment, the invoice amount must be transferred within 14 days after receiving the order. The goods will be reserved for 5 calendar days.

§ 7 Shipping Conditions

  1. The customer ensures that the provided delivery address is correct; any additional costs due to incorrect details are borne by the customer.

  2. Transfer of risk:

    • Entrepreneurs: upon handover to the carrier.

    • Consumers: upon delivery of the goods.

§ 8 Notification of Transport Damage

  1. Obvious transport damage must be reported to the carrier immediately and noted on the delivery receipt.

  2. Hidden damage must be notified to the carrier within 5 days of delivery.

  3. Statutory warranty claims (§ 9) remain unaffected.

§ 9 Warranty

  1. The statutory rights of the buyer in case of defects apply.

  2. Consumers may choose subsequent performance by repair or replacement; entrepreneurs only if a defect right is stated.

  3. For entrepreneurs, claims expire one year after delivery.

  4. Merchants must report obvious defects within two weeks.

§ 10 Liability Provisions

  1. Urban Greenery is fully liable for intent, gross negligence, injury to life, limb, or health, and under the Product Liability Act.

  2. For simple negligence, liability is limited to foreseeable contract-typical damage in case of cardinal obligations.

  3. Further liability is excluded.

  4. Jurisdiction: for entrepreneurs and otherwise at the registered office of Urban Greenery.

§ 11 Final Provisions

  1. If any provision is invalid, the remaining provisions remain unaffected.

  2. Amendments to these GTC will be published in the online shop.
